1. Acceptance of Terms

By accessing, downloading, installing, or using ActionPAL software ("Software") or any related services, website, or documentation (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and ActionPAL ("Company," "we," "us," or "our"). By using the Service, you represent that you are at least 18 years of age or have the consent of a parent or legal guardian.

2. Description of Service

ActionPAL is a desktop automation software that allows users to:

• Record and playback mouse and keyboard actions (macros)
• Create automated workflows and scheduled tasks
• Automate repetitive computer tasks
• Use visual recognition and conditional logic for automation

The Software is provided as a tool for legitimate automation purposes. The manner in which you use this tool is entirely your responsibility.

3. User Responsibility & Liability

You acknowledge and agree that:

• Compliance with Laws: You are solely responsible for ensuring that your use of the Software complies with all applicable local, state, national, and international laws, regulations, and rules.
• Third-Party Terms: You are solely responsible for ensuring that your use of the Software does not violate the terms of service, end-user license agreements, or policies of any third-party software, websites, games, applications, or services you interact with.
• Consequences of Use: You accept full responsibility for any and all consequences resulting from your use of the Software, including but not limited to:
  • Account suspensions or bans from third-party services
  • Loss of data, progress, or virtual items
  • Financial losses of any kind
  • Legal action taken against you by third parties
  • Damage to hardware or software
  • Any other negative outcomes
• No Guarantees: The Company makes no guarantees about the compatibility, safety, or acceptability of using the Software with any third-party service.

4. Prohibited Uses

While we do not monitor or control how you use the Software, you agree NOT to use ActionPAL for:

• Any illegal activities or purposes
• Fraud, identity theft, or financial crimes
• Unauthorized access to computer systems or networks
• Harassment, stalking, or threatening others
• Distributing malware, viruses, or harmful code
• Infringing on intellectual property rights
• Circumventing security measures or access controls
• Any activity that could harm the Company's reputation

Violation of these prohibitions may result in immediate termination of your license and may be reported to appropriate authorities.

5. Disclaimer of Warranties

The Company does not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will be compatible with any third-party software or services

6. Limitation of Liability

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Loss of goodwill or reputation
• Account suspensions or bans from third-party services
• Loss of virtual items, currency, or progress in games or applications
• Any damages arising from your use or inability to use the Service
• Any damages arising from unauthorized access to your data
• Any other damages, whether based on warranty, contract, tort, or any other legal theory

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

7. Indemnification

You agree to defend, indemnify, and hold harmless ActionPAL and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations
• Any content you create, submit, or transmit through the Service
• Any damage caused by your use of the Service to any third party

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of ActionPAL and its licensors. The Service is protected by copyright, trademark, and other laws.

Your license to use the Software is limited, non-exclusive, non-transferable, and revocable. You may not:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove any proprietary notices or labels
• Use the Software to create a competing product
• Sublicense, sell, or transfer your license to others

9. Subscription & Payments

Free Tier: Basic features are available at no cost with limitations.

Paid Subscriptions: Premium features require a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Automatic renewal unless cancelled before the renewal date
• Provide accurate and complete billing information

Refunds: Refund requests are handled on a case-by-case basis. We reserve the right to deny refunds for subscriptions that have been substantially used.

Price Changes: We may change subscription prices with 30 days' notice. Continued use after price changes constitutes acceptance.

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Violation of applicable laws
• Fraudulent or illegal activity
• Non-payment of fees
• At our sole discretion for any reason

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ActionPAL operates, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by law. You waive any right to participate in class action lawsuits or class-wide arbitration.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be notified via:

• Email to registered users
• Notice on our website
• In-app notification

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.
